1 Eligibility
1.1 Each Nominee must be a non-healthcare professional who provides a specific and dedicated level of care to an individual(s) and who is not compensated in any direct way because of their role as a “Caregiver” (apart from any applicable government benefit).
1.2 Doctors, nurses, hospital staff and other healthcare workers who receive compensation as part of their employment for caring for others, are not eligible to be considered for a Brave Award, but may submit nominations.
1.3 Nominees must be at least eighteen (18) years of age or older as of September 1, 2011 and must be a current Caregiver.
1.4 Nominees must be residents or citizens of the United States of America, France, Germany, Italy, Spain, Canada and the United Kingdom.
1.5 Shire may in its sole discretion (based on these terms and conditions) at any time deem a country or nominee as ineligible for nomination or to win.
1.6 If Shire deems a potential winner ineligible to receive a prize (pursuant to these terms and conditions), Shire may donate the prize, which such disqualified person would have been awarded, to a charitable organization.
1.7 Employees and immediate family members of Shire plc and its subsidiaries and the employees of advertising and promotional agencies directly involved in the Brave Awards are ineligible to submit nominations or be nominated.
1.8 Shire, its employees and its agents involved in the Brave Awards shall herein be collectively referred to as the "Sponsors".
2 Nominations
2.1 People submitting nominations ("Nominator(s)") must be at least eighteen (18) years of age as of June 15, 2011.
2.2 Nominations can only be submitted online through the Brave Awards website.
2.3 Nominations must be submitted on behalf of another person; self-nominations will not be accepted.
2.4 Nominations close at 11:59:59 PM Pacific Standard Time August 31, 2011.
2.5 Nominations must be in either English, or the official language of the country from where the nomination is being submitted.
2.6 Only one person may be nominated per submission; group nominations are not acceptable.
2.7 False or deceptive nominations or acts may render a nominee ineligible.
2.8 On submission, all nomination forms and their contents become the property of Shire and will not be returned. Shire reserves the right to edit reasonably the contents of nominations for use in publication or promotion.
3 Consents
3.1 By submitting a nomination you grant Sponsors the right, unless prohibited by law, to use the contents of your nomination (including any personal and sensitive data set out therein including) your name, voice, picture and likeness, without compensation, for the purpose of processing and considering your nomination(s), advertising and publicizing all matters related to the Brave Awards and/or Shire in any medium, throughout the world.
3.2 Nominators must also obtain the consent of each nominee, and the relevant care recipient where necessary, for submitting their personal data with each nomination to allow the Sponsors, to the extent permitted by law, to process their personal and sensitive data (including their) name, voice, picture and likeness, without compensation, for the purpose of processing and considering the relevant nomination(s), advertising and publicizing all matters related to the Brave Awards and/or Shire in any medium, throughout the world.
4 Privacy
4.1 Nominees may be asked to provide additional information and have their information verified as part of the review and judging process. If such additional information is not received by the Sponsors, or if such information is not or cannot be verified, the relevant nomination may be deemed ineligible.
4.2 The information submitted with each nomination (or subsequently as part of the judging process) will be collected in the United States of America
4.3 The collection, storage and use of your data will be subject to (a) Shire’s Privacy Policy located at Shire Privacy Policy; and (b) US laws and regulations which may be different from the laws and regulations of the country from which you submit a nomination.
4.4 By registering for the Shire Brave Awards, you and the nominee are consenting to this collection, storage and use of personal data and information.
5 Notification and Publication
5.1 Nominees may be notified by phone, email or postal service.
5.2 At the sole discretion of Shire, Winners may be asked to attend an awards event. If asked to attend an awards event, Winners will be responsible for obtaining all proper documentation (e.g., Visa, Passport) prior to travel if travel is necessary.
5.3 Compensation may be provided for any portion of such travel at Shire’s sole discretion.
5.4 Winners may be required to sign an affidavit or other documents verifying their eligibility in the Brave Awards including, but not limited to, liability releases, tax acknowledgment forms and, except where prohibited by law, use of name and likeness releases ("Release Documents") and return such documents within thirty (30) days of issuance of notification.
5.5 Execution of the these Release Documents will grant Sponsors the right, unless prohibited by law, to use the Winner’s names, voices, likenesses and any of the material provided by them or about them without compensation, for the purpose of advertising and publicizing Shire, all matters related to the Brave Awards in any medium, throughout the world.
6 Awards
6.1 Each winner (“Winner”) of a Brave Award will receive Ten Thousand Dollars ($10,000.00) (USD).
7 Taxes
7.1 Winners are responsible for the reporting and payment of all taxes as well as any other costs and expenses associated with acceptance and use of any prize received.
7.2 A Winner who is a United States citizen or resident must properly complete Internal Revenue Service (IRS) Form W-9 and provide to Shire prior to receiving an award.
7.3 Payments to Winners who are not US citizens or residents may be subject to a US withholding tax, which may be as much as 30% of the award.
7.4 Additional documents may also be required from the Winner prior to the provision of any award, including but not limited to IRS Form W-8BEN in the case of Winners who are not US citizens or residents.
7.5 Please consult a professional tax advisor regarding the taxation of your award since special rules may apply.
8 Judging
8.1 Submissions will be judged by Shire from among all eligible nominations received. If more than one nomination is received for a particular nominee, Shire, in its sole discretion, may consider any of the nominations for that individual in its judging.
8.2 A Shire Selection Committee will select up to ten (10) potential Winners from the nominations provided. The Selection Committee will consist of Shire employees and non-Shire employees invited by Shire to serve as Committee members.
9 Judging Criteria
9.1 From the nominations received, the Shire Selection Committee shall choose “Finalists” based on the five (5) categories of the Shire Caregiver Rating Scale (set out below).
9.2 From the scores awarded by each member of the Selection Committee, each nomination will be awarded a Cumulative Caregiver Score. Each category under the Shire Caregiver Rating Scale is rated on a scale from 1-10, suggesting a maximum Cumulative Caregiver Score of 50. The Shire Caregiver Rating Scale was developed in the spirit of the Company’s Brave values.

Build on Integrity: RESPECT (Rate this value 1-10)
A caregiver gives of themselves to ensure that the person in need is able to live both safely and with dignity. A caregiver sees to it that the basic needs of food, clothing, cleanliness and shelter are met while respecting that person's emotional needs.
Risk a “Risk”: COURAGE (Rate this value 1-10)
It is a tremendous task to be responsible for the care of another person. A caregiver must be able to handle daily life-sustaining tasks as well as emergency situations, that can put a strain on his or her own physical and mental wellbeing. It takes a strong will and determination fueled by courage to be a caregiver.
Act on the Needs of Others: DEDICATION (Rate this value 1-10)
Caregivers must be reliable and dedicated to the person they care for on a regular basis. This dedication equates to diligence, a willingness to work and a commitment to do everything possible to ensure the safety, wellbeing and comfort of that person. It means providing the kind of care that anyone would want to receive, even if it requires extra thought, energy and effort.
Vie to Be Better Than Yesterday: IMPACT (Rate this value 1-10)
Caregivers have the ability to greatly impact the life of the person in need and the lives affected by that individual. The work of the caregiver crosses physical, emotional and social boundaries that can have a lasting effect on the care receiver’s quality of life. The value the caregiver brings to society can, and often does, extend well beyond the impact on the life of one individual.
Exemplify Trust & Openness: PATIENCE (Rate this value 1-10)
Compassion is empathy in action. It is more than just feeling for someone and sympathizing with their situation; it is a willingness to extend oneself to that person in an effort to bring about a positive change. This can mean sacrificing one’s own needs to serve someone else. Even the simplest daily activities can be frustrating to a person requiring care. That person may regularly face seemingly insurmountable odds, and it is imperative for caregivers to exhibit patience. A good caregiver is able to put his or her own feelings and needs aside to focus on the welfare of the individual in need while being as patient as possible.
9.4 Winners will be ultimately selected by Shire employees from the Finalists identified by the Shire Selection Committee (according to their Cumulative Caregiver Score).
9.5 Voting for the Winners will be via an online tool made available to all Shire employees. Shire employees will select up to ten (10) Winners from the list of Finalists.
9.6 The Winners will be contacted by a Shire representative and announced on the Brave Awards website as well as through other media placements chosen by Shire, on or about November 15, 2011.
9.7 Shire shall declare all official Winners. All Winners are subject to verification by Shire and must meet all eligibility requirements including the execution and return of all necessary releases, or they may be disqualified.
9.8 The decisions of the Shire Selection Committee and the outcome of the final voting round will be final and binding.
9.9 Whether a nominator is identified and which nominator is identified, if there are multiple nominations for one individual, is in the sole discretion of Shire.
10 General
10.1 If, for any reason, the Brave Awards program is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures or any other causes beyond the control of the Sponsors which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Brave Awards, Shire reserves the right in its sole discretion to cancel the program, disqualify any individual who tampers with the entry process and to cancel, terminate, modify or suspend the Brave Awards.
10.2 Sponsors assume no responsibility for any error, omissions, interruption, deletion, defect or delay in operation with transmission, communications, line failure, theft or destruction or unauthorized access to or allegation of submissions.
10.3 Sponsors are not liable for any problem or technical malfunction of any telephone network or lines, computer online systems, servers, equipment or software, failure of any email or entry to be received on account of technical problems or traffic congestion on the Internet or at any website, phone lines or any combination thereof, including any injury or damage to a participant's computer related to or resulting from participation in the Brave Awards.
10.4 CAUTION: ANY ATTEMPT BY A PARTICIPANT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE BRAVE AWARDS IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSORS RESERVE THE RIGHT TO SEEK DAMAGES TO THE FULLEST EXTENT PERMITTED BY LAW.
10.5 Sponsors are not liable for any late, lost, garbled, misdirected, incomplete or damaged nomination; any disruptions, injuries, losses or damages caused by events beyond the control of Sponsors; or any printing or typographical errors in any materials associated with the Brave Awards.
10.6 Sponsors are not in any way responsible or liable for the use of the funds donated or for any damage, loss or injury (including death) resulting from participation in the Brave Awards and/or acceptance and use of any awards won.

10.8 For France: Pursuant to Article L121-37 of the Consumer Code, these terms and conditions governing the Brave Awards will be sent, free of charge, to anyone who asks for them by emailing shirebraveawards@shire.com and providing your mailing details. Pursuant to article L. 121-38 of the Consumer Code, a copy of these terms and conditions have been lodged with Maitre Eric Albou, 32 rue de Malte, 75011 PARIS 11EME ARR.
